Terms and Conditions

Effective date: September 22, 2026

These Terms and Conditions ("Terms") are an agreement between you and VIA ONE Corporation ("Via One", "we", "us"), a Wyoming corporation (registered office 1309 Coffeen Avenue, STE 1200, Sheridan, WY 82801; mailing address 4007 Tillingmere Circle, Matthews, NC 28104, United States). They govern your use of via.one, our services on WhatsApp, Telegram and other messaging channels, Via One accounts and wallets, and the products available through them (together, the "Services"). By using the Services you accept these Terms and our Privacy Policy. If you do not agree, do not use the Services.

Please read carefully. Payments made through the Services are generally final once delivered. Sections 6, 7 and 12 explain when a transaction can and cannot be reversed, and limit our liability.

1. The Services

Depending on your location and eligibility, the Services may include: mobile top ups and data plans in the United States, Mexico, Latin America and the Caribbean; bill payments; transfers to bank accounts and cards; a stored value account or wallet; prepaid and virtual cards; and a retail platform through which independent stores offer these products to their customers. Not every product is available to every user, and we may add, change or withdraw products at any time.

Some products are provided by our affiliated companies or by regulated financial institutions, payment networks, card issuers and mobile operators ("service partners"). Where a service partner is the provider of record, its terms are shown to you at the time and apply in addition to these Terms.

2. Eligibility and your account

3. Retailers on the Via One platform

If you use the Services as a store, agent or business ("Retailer"), you also agree to your Retailer agreement with us. You are responsible for your staff, for the accuracy of every order you enter, for collecting payment from your customer before submitting an order, and for delivering to your customer any product or refund we deliver to you. Retailer pricing, discounts and settlement are set out in your Retailer agreement.

4. Instructions, confirmation and accuracy

You are responsible for the accuracy of every instruction you give us, including the recipient phone number, account number or card number and the amount. We show you the details before you confirm. Once you confirm, we act on your instruction immediately. A top up sent to the wrong number, or a transfer sent to the wrong account, generally cannot be recovered, because the mobile operator or receiving bank credits the recipient at once.

5. Fees and exchange rates

The price, any fee and, for cross border products, the exchange rate are shown to you before you confirm. The amount shown is the amount you pay. Exchange rates are set by us or our service partners and include a margin. Third party charges, such as your carrier's message and data rates or a recipient bank's fees, are not included.

6. Payment, wallets and balances

7. Delivery, refunds and disputes

8. Prohibited use

You may not use the Services: to break any law; to launder money, finance terrorism or evade sanctions; to pay for illegal goods or services; to send money on behalf of a person you do not know, or in return for a fee, unless you are an authorized Retailer; to defraud anyone; to interfere with, reverse engineer or overload the Services; or to send abusive, deceptive or unsolicited messages. We may refuse, delay, hold or reverse any transaction and may suspend or close any account that we reasonably believe breaks these Terms or the law.

9. Compliance, verification and reporting

We operate a compliance program that includes identity verification, sanctions screening, transaction monitoring and record keeping. You agree that we may verify your information with third parties, ask for additional documents at any time, limit the amount or frequency of your transactions, and report activity to authorities where the law requires. Transaction limits are shown in the Services and may change without notice.

10. Messaging services

By messaging us you consent to receive replies and transaction messages on the same channel. Message and data rates from your carrier may apply. Our replies are generated in part by automated systems; they are not financial, legal or tax advice. Reply STOP to end marketing messages.

11. Intellectual property

The Services, including the Via One name, logo, software and content, belong to Via One or its licensors. You receive a limited, revocable, non exclusive right to use the Services for their intended purpose. You may not copy, modify, sell or misuse them.

12. Disclaimers and limitation of liability

The Services are provided "as is" and "as available". We do not promise that they will be uninterrupted or error free, or that a mobile operator, bank, biller or other third party will act on time. To the fullest extent the law allows: we are not liable for indirect, incidental, special, consequential or punitive damages, or for loss of profits, data or goodwill; and our total liability for any claim relating to a transaction is limited to the amount of that transaction, and for any other claim to the fees you paid us in the twelve months before the claim. Nothing in these Terms limits liability that cannot be limited by law, including for fraud or gross negligence, or your rights under consumer protection laws that apply to you.

13. Indemnity

You agree to defend and hold harmless Via One, its affiliates and service partners from claims, losses and costs (including reasonable legal fees) that arise from your breach of these Terms, your misuse of the Services or your violation of any law or third party right.

14. Suspension and termination

You may stop using the Services at any time and ask us to close your account. We may suspend or close your account, with notice where the law requires, if you breach these Terms, if we are required to by law or a service partner, or if the account is inactive for 12 months. On closure we will return any available balance to you, less amounts you owe us, unless the law prevents it.

15. Governing law and disputes

These Terms are governed by the laws of the State of Wyoming and applicable federal law of the United States, without regard to conflict of law rules. Before starting a claim you agree to contact us and give us 30 days to resolve it. Any dispute that is not resolved will be decided by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, except that either party may bring an individual claim in small claims court. You and Via One waive any right to a jury trial and to participate in a class action. You may opt out of this arbitration clause by emailing support@via.one within 30 days of first accepting these Terms. If arbitration does not apply, the state and federal courts located in Sheridan County, Wyoming have exclusive jurisdiction.

16. General

These Terms, the Privacy Policy and any product specific terms are the entire agreement between you and us. If any part is unenforceable the rest remains in effect. We may assign these Terms to an affiliate or successor; you may not assign them. Our failure to enforce a term is not a waiver. We may change these Terms; the effective date above shows the current version, and for material changes we will notify you before they take effect. Your continued use after that date means you accept the change.
